These Terms of Service (“Terms”) govern your access to and use of the website, applications, and services (collectively, the “Services”) provided by Ava Studio (“Ava Studio,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent and warrant that you meet these requirements and that you have the authority to enter into these Terms, including on behalf of any organization you represent.

2. Accounts

To access certain features, you must create an account. You agree to provide accurate and complete information and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use or security breach.

3. Use of the Services

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. You agree not to:

• Use the Services in violation of any applicable law or regulation;
• Infringe the intellectual property or other rights of any third party;
• Upload or generate content that is unlawful, harmful, harassing, defamatory, or otherwise objectionable;
• Attempt to reverse engineer, decompile, or gain unauthorized access to the Services or related systems;
• Interfere with or disrupt the integrity or performance of the Services; or
• Use the Services to develop a competing product or to train competing models.

4. User Content

The Services allow you to create, upload, and generate content (“User Content”). You retain ownership of your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display that content solely as necessary to operate, provide, and improve the Services.

You are solely responsible for your User Content and represent that you have all rights necessary to submit it and to grant the license above. We may remove or disable access to User Content that violates these Terms or applicable law.

5. AI-Generated Output

The Services use artificial intelligence to generate content based on your inputs (“Output”). Output may be inaccurate, incomplete, or unintended, and may be similar to content generated for other users. You are responsible for evaluating Output for accuracy and appropriateness before relying on or publishing it. You should not treat Output as professional advice.

6. Subscriptions and Payment

Certain features are offered on a paid subscription basis. By purchasing a subscription, you authorize us (or our payment processor) to charge the applicable fees on a recurring basis until you cancel. Fees are non-refundable except as required by law or as expressly stated. We may change our pricing with reasonable advance notice.

7. Intellectual Property

The Services, including all software, text, graphics, and trademarks, are owned by Ava Studio or its licensors and are protected by intellectual property laws. Except for the rights expressly granted in these Terms, we reserve all rights, title, and interest in and to the Services.

8. Third-Party Services

The Services may integrate with or contain links to third-party websites and services. We are not responsible for the content, policies, or practices of any third party, and your use of those services is governed by their respective terms.

9. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at our discretion, including if you violate these Terms. Upon termination, your right to use the Services will cease, though provisions that by their nature should survive will remain in effect.

10. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

11. Limitation of Liability

To the fullest extent permitted by law, Ava Studio and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim will not exceed the amount you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Ava Studio and its affiliates from any claims, damages, liabilities, and expenses arising out of your use of the Services, your User Content, or your violation of these Terms or applicable law.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after any update constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of laws principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts located in that jurisdiction.
